Acceptance of Terms

By accessing and using the website atomicgawa.live and our retail inventory demand prediction services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

These Terms of Service constitute a legally binding agreement between you and atomicgawa Ltd (registration number HE854796), a company incorporated in Cyprus. Your use of our services is subject to these terms, which may be updated from time to time without notice.

Service Description

atomicgawa provides retail inventory demand prediction systems and related services, including but not limited to:

  • AI-powered demand forecasting solutions
  • Inventory optimisation systems
  • Market analysis and insights
  • System integration services
  • Technical support and consultation

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice to existing clients.

User Obligations

When using our services, you agree to:

  • Provide accurate and complete information when requested
  • Use our services only for lawful business purposes
  • Maintain the confidentiality of any login credentials or access information
  • Comply with all applicable laws and regulations in your jurisdiction
  • Not attempt to reverse engineer, modify, or tamper with our software or systems

Payment Terms

If you subscribe to our paid services:

  • Fees are due in advance according to the agreed payment schedule
  • All prices are quoted in Euros (EUR) unless otherwise specified
  • Late payment may result in service suspension or termination
  • You are responsible for any applicable taxes, duties, or charges
  • Refunds are provided according to our refund policy as communicated during service agreement

Data and Privacy

Your use of our services is also governed by our Privacy Policy, which is incorporated into these terms by reference. By using our services, you consent to the collection, use, and disclosure of your information as described in our Privacy Policy.

You retain ownership of any data you provide to us, whilst granting us the necessary rights to process and analyse such data to provide our services effectively.

Intellectual Property

All content, features, and functionality of our services, including but not limited to text, graphics, logos, software, algorithms, and methodologies, are the exclusive property of atomicgawa or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of our proprietary material without our prior written consent.

Our demand prediction algorithms, methodologies, and related intellectual property remain the exclusive property of atomicgawa even when applied to your specific business data.

Service Availability

Whilst we strive to maintain continuous service availability, we do not guarantee uninterrupted access to our services. Scheduled maintenance, technical issues, or circumstances beyond our control may result in temporary service disruptions.

We aim to provide advance notice of planned maintenance activities whenever possible and will work to minimise any impact on your business operations.

Limitation of Liability

To the fullest extent permitted by applicable law, atomicgawa shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our services.

Our total liability for any claims arising from or related to these terms or our services shall not exceed the amount paid by you to atomicgawa in the twelve months preceding the claim.

Whilst we strive to provide accurate demand predictions, we cannot guarantee specific business outcomes, and you acknowledge that business decisions based on our forecasts are made at your own risk.

Indemnification

You agree to defend, indemnify, and hold harmless atomicgawa and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to your violation of these terms or your use of our services.

Confidentiality

Both parties acknowledge that they may have access to confidential information during the course of our business relationship. Each party agrees to maintain the confidentiality of such information and not to disclose it to third parties without prior written consent.

This confidentiality obligation shall survive the termination of these terms and continue for a period of five years thereafter.

Force Majeure

Neither party shall be liable for any failure or delay in performance under these terms which is due to fire, flood, earthquake, elements of nature, acts of God, acts of war, terrorism, riots, civil disorders, rebellions, or other acts beyond the reasonable control of such party.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of Cyprus, without regard to its conflict of law provisions. Any legal action or proceeding arising under these terms will be brought exclusively in the courts of Cyprus, and you hereby consent to personal jurisdiction and venue therein.

If any provision of these terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Termination

Either party may terminate this agreement at any time by providing written notice to the other party. Upon termination:

  • Your access to our services will cease
  • Any outstanding fees become immediately due and payable
  • Confidentiality obligations will continue to apply
  • You must cease using our proprietary methodologies and intellectual property

We reserve the right to terminate or suspend your access immediately, without prior notice, for any breach of these terms or for any reason we deem necessary to protect our business interests.

Entire Agreement

These Terms of Service, together with our Privacy Policy and any additional service agreements, constitute the entire agreement between you and atomicgawa concerning our services and supersede all prior or contemporaneous communications and proposals between the parties.

Changes to Terms

We reserve the right to modify these terms at any time. If we make material changes, we will notify you by email or by posting a notice on our website prior to the effective date of the changes. Your continued use of our services after such notification constitutes acceptance of the modified terms.
